This Terms of Use Agreement sets forth the standards of use of the VenturPORT.org™ Online Service. By using the VenturePORT.org™ Web site you (the "Member") agree to comply with and be governed by these terms and conditions. If you do not agree to the terms and conditions of this Terms of Use Agreement, you should immediately cease all usage of this Web site. We reserve the right, at any time, to supplement, modify, alter, replace, revise, or update the terms and conditions of this Agreement without prior notice. Modifications shall become effective immediately upon being posted at the VenturePORT.org™ Web site. Your continued use of the Service after amendments are posted constitutes an acknowledgement and acceptance of the then-current Agreement and its modifications. Except as provided in this paragraph, this Agreement may not be amended.

Description of Service
VenturePORT.org™ is providing the Member with online entrepreneurial resources. The Member must provide (1) all equipment necessary for their own Internet connection, including computer and modem and (2) provide for the Member's access to the Internet, and (3) pay any fees related with such connection.
Disclaimer of Warranties
The site is provided by VenturePORT.org™ on an "as is" and on an "as available" basis. To the fullest extent permitted by applicable law, VenturePORT.org™ makes no representations or warranties of any kind, express or implied, regarding the use or the results of this web site in terms of its correctness, accuracy, reliability, or otherwise. VenturePORT.org™ shall have no liability for any interruptions in the use of this Web site. VenturePORT.org™ disclaims all warranties with regard to the information provided, including the implied warranties of merchantability and fitness for a particular purpose, and non-infringement, unless the exclusion of such disclaimers is expressly prohibited or limited by the applicable law of jurisdictions having binding authority over this Terms of Use Agreement and VenturePORT.org™.

Limitation of Liability

Indemnification
The Member agrees to indemnify and hold VenturePORT.org™ , its parents, subsidiaries, affiliates, officers, directors, employees, agents, representatives, successors, and assigns harmless from any claim, liability, expense, cause of action, or demand, including without limitation actual reasonable attorneys' fees and costs, made by any third party due to or arising out of the Member's use of the Service, the violation of this Agreement, or infringement by the Member, or any other user of the Service using the Member's computer, of any intellectual property of any person or entity or any other legal or equitable right or remedy of any person or entity.

Modifications and Interruption to Service
VenturePORT.org™ reserves the right to modify or discontinue the Service with or without notice to the Member. VenturePORT.org™ shall not be liable to the Member or any third party should VenturePORT.org™ exercise its right to modify or discontinue the Service. The Member acknowledges and accepts that VenturePORT.org™ does not guarantee continuous, uninterrupted or secure access to our Web site and operation of our Web site may be interfered with or adversely affected by numerous factors or circumstances outside of our control.
Forum
Our forum is powered by phpBB, which is a bulletin board solution released under the "General Public License" (hereinafter "GPL"). The phpBB software only facilitates Internet based discussions and the GPL strictly forbids them in what we allow and/or disallow as permissible content and/or conduct.
You agree not to post any abusive, obscene, vulgar, slanderous, hateful, threatening, sexually-orientated or any other material that may violate any laws be it of your country, the country where "ventureport.org" is hosted or International Law. Doing so may lead to you being immediately and permanently banned, with notification of your Internet Service Provider if deemed required by us. The IP address of all posts are recorded to aid in enforcing these conditions. You agree that VenturePORT.org has the right to remove, edit, move or close any topic at any time should we see fit. As a user you agree to any information you have entered to being stored in a database. While this information will not be disclosed to any third party without your consent, neither VenturePORT.org nor phpBB shall be held responsible for any hacking attempt that may lead to the data being compromised.

Governing Jurisdiction of the Courts
Our Web site is operated and provided in the State of Wisconsin. As such, we are subject to the laws of the State of Wisconsin, and such laws will govern this Terms of Use Agreement, without giving effect to any choice of law rules. We make no representation or warranty that our Web site or other services are appropriate, legal or available for use in other locations or jurisdictions. Accordingly, if a Member chooses to access our site, by so doing the Member agrees to do so subject to the internal laws of the State of Wisconsin.
Compliance with Laws
The Member assumes all knowledge of applicable law and is responsible for compliance with any such laws. The Member may not use the Service in any way that violates applicable local, state, federal, or international laws, regulations or other government requirements. The Member further agrees not to transmit or otherwise use or communicate, through VenturePORT.org™, any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation.

Botnets
VenturePORT.org™ retains the right, at our sole discretion, to terminate any accounts involved with botnets and related activities. If any hostnames are used as command and control points for botnets, VenturePORT.org™ reserves the right to direct the involved hostnames to a honeypot, loopback address, logging facility, or any other destination at our discretion.
Other Terms
If any provision of this Terms of Use Agreement shall be unlawful, void or unenforceable for any reason, the other provisions (and any partially-enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent. The Member agrees that this Terms of Use Agreement and any other agreements referenced herein may be assigned by VenturePORT.org™, in our sole discretion, to a third party in the event of a merger or acquisition. This Terms of Use Agreement shall apply in addition to, and shall not be superseded by, any other written agreement between us in relation to your participation as a Member. The Member agrees that by acting under this Terms of Use Agreement, the Member accepts all of its terms and conditions and the Member expressly consents to the use and disclosure of the Member's personally identifiable information and other practices described in our Privacy Policy Statement.

Commitment

Your password is ciphered so that it is secure. However, it is recommended that you do not reuse the same password across a number of different websites. Your password is the means of accessing your account at VenturePORT.org so please guard it carefully and under no circumstance will anyone affiliated with VenturePORT.org" or another 3rd party, legitimately ask you for your password. Should you forget your password for your account, you can use the "I forgot my password" feature provided. This process will ask you to submit your user name and your e-mail, and then VenturePORT.org will generate a new password to reclaim your account.
